The Details (Full Client Terms)
The notes above cover the main points of how we work together. For completeness and transparency, the full client terms are outlined below. These terms apply to all goods and services supplied by Cutting Edge Signs Ltd (trading as Cutting Edge Solutions) to the purchaser (“the Client”). By accepting a quotation, approving artwork, placing an order, or submitting the onboarding form, the Client agrees to these terms. 1. Quotations and Orders Quotations are valid for 30 days unless otherwise stated. Quotes are based on the specifications provided at the time of quoting. Any changes to project scope, materials, quantities, installation requirements or site conditions may result in additional charges. Orders should be confirmed in writing to ensure accuracy. Cutting Edge Solutions cannot be responsible for errors resulting from unclear or verbal instructions. If an order is cancelled or suspended after work has commenced, Cutting Edge Solutions reserves the right to invoice for work completed up to that point, including design, production time and materials. 2. Design, Concepts and Artwork Design work, mock-ups, concepts, proofs and artwork preparation require professional time and expertise and may be charged whether or not the project proceeds. Unless specifically stated otherwise in writing, design work is not included in production pricing. All artwork, concepts and designs created by Cutting Edge Solutions remain the intellectual property of Cutting Edge Solutions unless purchased separately by the Client. 3. Client Supplied Artwork Where artwork is supplied by the Client, Cutting Edge Solutions is not responsible for print quality issues arising from supplied files including resolution, colour accuracy, scaling, formatting or suitability for print production. Any adjustments required to prepare supplied artwork for production may incur additional design charges. 4. Artwork Approval Artwork proofs will be provided prior to production where applicable. The Client is responsible for checking all proofs carefully. Once artwork has been approved, Cutting Edge Solutions cannot accept responsibility for errors including spelling, layout, sizing, positioning or design elements. 5. Colour Matching Colours displayed on phones, tablets and computer monitors are indicative only and cannot be relied upon as accurate representations of printed colours. Colour appearance may vary depending on materials, printing processes, laminates, finishes and lighting conditions. While Cutting Edge Solutions will make reasonable efforts to match brand colours, exact colour matching across different materials and surfaces cannot be guaranteed. Where precise colour matching is critical, the Client should request and approve a printed sample prior to production. 6. Pricing Prices quoted exclude GST, which will be added where applicable. Additional charges may apply where required to complete the project, including but not limited to: • height access equipment • permits or council approvals • engineering drawings • electrical work or primary wiring • additional site visits or installation time If material, supplier or labour costs increase between quotation and production, Cutting Edge Solutions reserves the right to adjust pricing accordingly. 7. Installation and Site Access The Client must ensure safe and reasonable access to the installation site. If installation cannot proceed due to restricted access, incomplete site preparation, safety concerns or delays by other contractors, additional labour, equipment hire or return visit charges may apply. Installation may be postponed where weather conditions would compromise safety or the quality of the installation. 8. Vinyl Removal and Surface Conditions Removal of existing signage, vinyl or graphics may expose underlying surface issues including paint lifting, fading, ghosting or adhesive residue. Vehicle paintwork and building surfaces vary greatly in quality and condition. These issues are outside the control of Cutting Edge Solutions. Cutting Edge Solutions cannot accept responsibility for damage to surfaces or paint revealed during the removal of existing signage or graphics. Adhesion performance may also vary depending on the condition and preparation of the installation surface. 9. Sign Lifespan Signage lifespan varies depending on materials used, environmental exposure, UV levels, maintenance and installation conditions. Any lifespan estimates are indicative only and cannot be guaranteed. Exposure to weather, sunlight, cleaning methods or environmental factors may affect the appearance and durability of signage over time. 10. Payment Terms Payment terms will be stated on the invoice. Cutting Edge Solutions may require a deposit prior to commencing work. Interest may be charged on overdue accounts at 2 percent per month. The Client agrees to pay all reasonable costs incurred in recovering overdue accounts, including legal or debt collection costs. Cutting Edge Solutions reserves the right to suspend work or withhold delivery where accounts are overdue. 11. Ownership of Goods Ownership of goods supplied remains with Cutting Edge Solutions until payment has been received in full. Risk transfers to the Client upon delivery or installation. Cutting Edge Solutions retains a security interest in goods supplied until payment is received in accordance with the Personal Property Securities Act 1999 (PPSA). 12. Warranty and Liability Cutting Edge Solutions will remedy any defects in workmanship reported within 7 days of delivery or installation, at its discretion. Manufacturer warranties apply to supplied materials and components where applicable. To the maximum extent permitted by law, Cutting Edge Solutions’ liability is limited to repairing or replacing the goods or services supplied. Cutting Edge Solutions shall not be liable for indirect or consequential loss including loss of business, profit or opportunity. Where the Client acquires goods for the purposes of a business, the parties agree that the Consumer Guarantees Act 1993 does not apply. 13. Delays Outside Our Control Cutting Edge Solutions will not be liable for delays caused by circumstances beyond its control including supplier shortages, weather conditions, transport delays, labour shortages or regulatory approvals. 14. Project Photography Unless requested otherwise by the Client, Cutting Edge Solutions may photograph completed projects and use these images for portfolio, marketing or promotional purposes. 15. General The person accepting a quotation or placing an order confirms that they have authority to bind the Client. These terms are governed by the laws of New Zealand. If any provision of these terms is found to be unenforceable, the remaining provisions will remain in effect. Cutting Edge Solutions may update these terms from time to time by providing notice. Our goal is simple: deliver signage and media that both you and we are proud of.
